The North Carolina Epsilon Chapter of Upsilon Pi Epsilon was installed in the Fall of 1996. The purpose of the local chapter, as with the international organization, is to recognize and encourage excellence in the computing sciences in both research and study. The local constitution and bylaws are available for inspection.

PREAMBLE

The Upsilon Pi Epsilon Association was founded at Texas A&M University in 1967. Most of the original concept and design of the Association is the result of the effort of those students who were highly motivated with the desire to recognize outstanding scholastic and professional achievement in the Computing Sciences. The North Carolina Epsilon Chapter of Upsilon Pi Epsilon continues this tradition of honoring outstanding students and faculty of computer science with membership in this society.

ARTICLE I: NAME

The name of this organization is the North Carolina Epsilon Chapter of Upsilon Pi Epsilon, hereafter referred to as the “Chapter”. This organization is an approved chapter of the Upsilon Pi Epsilon Association, the International Honor Society for the Computing Sciences, hereafter referred to as the “Association”.

ARTICLE II: MEMBERSHIP

The minimum qualifications of membership are stated in Section 1 of the Bylaws of the chapter. Article V(3) specifies the times of election of new members.

ARTICLE III: OFFICERS

1.      The officers of the chapter shall be a President, Vice-President and a Faculty Advisor.

2.      All officers shall be elected to a one year term by a majority of those present within the first two weeks of the fall semester at the first business meeting.

3.      Only Wake Forest Department of Computer Science faculty members can hold the office of Faculty Advisor.

ARTICLE IV: EXECUTIVE COMMITTEE

1.      The governing body of the chapter shall be an Executive Committee.

2.      The membership of the Executive Committee consists of the officers and at most two at large members.

3.      The at large members shall be elected to a one year term by a majority of those present no later than the first two weeks of the fall semester.

ARTICLE V: MEETINGS

1.      Meetings shall be held about once each month during the school year. All meetings of this chapter shall be open to the public.

2.      Only regular members shall have a vote on any questions and in any elections. A majority means more than one-half of the members present. Representatives of a majority of the members or three-fifths of the Executive Committee constitute a quorum.

3.      Election of new members shall take place at the first regular business meetings of the fall and spring semesters with initiation as soon as possible thereafter.

ARTICLE VI: FINANCES

There shall be no annual dues assessed. Grants from Student Government, the Department of Computer Science, or the University Administration will be requested to help pay for speakers and activities. Funds may also be obtained through special projects and/or by assessing each participant an appropriate fee for an activity.

ARTICLE VII: AMENDMENT

1.      All amendments must be consistent with the Constitution and Bylaws of the Association.

2.      Any proposed amendment must be presented to the membership at a regular meeting. No vote can be taken on the amendment at this meeting.

3.      A presented proposed amendment may be submitted for a vote at a meeting no sooner than two weeks after its proposal. A majority of total membership must vote for the amendment to be approved.

4.      All amendments must be approved by both the Department of Computer Science and the Student Life Committee.

ARTICLE VIII: RATIFICATION

This constitution must receive the approval of the Charter Committee, the Department of Computer Science, the Student Government Legislature, the Student Life Committee of Wake Forest College and the Faculty of Wake Forest College. Ratification is also contingent upon the establishment of a charter by the Association.

AMENDMENT I:

Organizational Test for Qualification under section 501(c)(3) of the Internal Revenue Code

A. The Chapter is organized exclusively for educational and scientific purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code.

B. No part of the net earnings of the Chapter shall inure to the benefit of, or be distributable to its members, trustees, officers, or other private persons, except that the Chapter shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in the purpose clause hereof. No substantial part of the activities of the Chapter shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the organization shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office. Notwithstanding any other provision of this document, the Chapter shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from federal income tax under section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or (b) by an organization, contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code, or corresponding section of any future federal tax code.

C. Upon the dissolution of the Chapter, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose. Any such assets not disposed of shall be disposed of by the Court of Common Pleas in Forsyth County, North Carolina, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.

AMENDMENT II:

Supporting Organization as defined by section 509(a)(3) of the Internal Revenue Code

A. The Chapter is operated to support the functions and goals of Wake Forest University, and the Association, both qualify as exempt organizations under section 501(c)(3) of the Internal Revenue Code.

B. The Chapter is prohibited from supporting any organizations other than Wake Forest University and the Association

C. The purposes of the Chapter are limited to recognition and encouragement of academic excellence in computer science at Wake Forest University, the development of professionalism in computer science, and enunciation of the ethical canons of the Association and Wake Forest University.

D.The activities of the Chapter are limited to the purposes as set forth in (c).

Minimum Qualifications for Regular Membership

A person meeting any one of the following three sets of qualifications may be elected to membership by the North Carolina Epsilon chapter, irrespective of sex, religion, race, or national origin:

Juniors or seniors who have taken at least five computer science courses, who have been in residence at least one semester, whose Wake Forest grade point average in computer science is at least 3.2, and who are in the top one-third of their major.

Graduate students who have been in residence at least one semester, who have completed at least one-half the credit-hours in courses required for a master’s degree in computer science and whose Wake Forest computer science graduate grade point average is at least a 3.5. Any student who was invited to join Upsilon Pi Epsilon as an undergraduate may be re-invited as a first semester graduate student if the student’s undergraduate scholarship rating is at least a 3.5 (see Bylaw VII of the Association).

Full-time members of the faculty in computer science or related subjects.

AMENDMENTS:

All amendments of the bylaws must be consistent with the Constitution of the Chapter, and the Constitution and Bylaws of the Association. These By-Laws may be amended by a majority vote of the regular members present at any meeting of the chapter which has been announced at least one week in advance. Amendments must be approved by the Department of Computer Science, the Student Government Legislature and the Student Life Committee.
